How can I switch to autonomous Win 7 and sell my old Win Vista OEM and 7 Upgrade versions?

I'm building a new machine from scratch, using a brand new copy (and not an upgrade) independent of Win 7 Ultimate 64-bit (GLC-00182.)  ... I would like to sell my old machine relieved at the Win Vista Home Premium (Gateway OEM disc) that came with it originally, with the possibility for the buyer to purchase my copy of Win 7 Home Premium Upgrade...  Could please tell me how I could go to the sale of the old stuff (old machine with OEM Vista and Win 7 Home Premium Upgrade disks separated?), in order to make a transaction without a hitch for the buyer (i.e., the extent of the permit / registration goes?)  All are authentic, but I know that is not necessarily easy.  Help, please!
