  You must deactivate the license first from the old machine by going to the 'Help' menu and select 'Disable' If you no longer want to use the software on this computer.

  You are allowed 2 simultaneous activations in any one platform with CS5.

  So if you are 'transfer' to a new laptop and it is the same platform as your previous installation (IE room PC or Mac), then you're good. Don't forget to disable the old version of CS5 if you're not going to use one the old laptop so you release one of your activations for later use. You can disable it in the Help menu.

  If you change platforms (IE from PC to Mac or Mac to PC), then you need to contact Adobe on a transfer of platform (I think that it is a small cost for this).
