There is no place legitimate level final consumer to download the ISO of Windows XP images.  If you have a friend of IT n professionals or something, you can borrow the CD from them - if it's the same type of edition and license because your product key allows (probably OEM).  [Although you can create a Windows XP CD which will accept the OEM product as well as a retail key, a, etc.].

    You can delete if you want not to resinstall the VMware tools or if you do not plan to install the new virtual machines.

    I recommend that you keep well because sometimes you need to reinstall the VMware tools after an os change or to solve a problem of driver.

    I'm sorry, I missed that part of the question.  The ISOs tools are in a RPM.  You'll need extract the rpm of the updated ISO or zip files and extract ISOs tools since the RPM.

    If you have downloaded the update to 3.5 U5 ISO (esx - 3.5.0_Update05 - 207095.iso) the RPM file is, /VMware/RPMs/VMware-esx-tools-3.5.0-207095.i386.rpm

    If you have downloaded the update to 3.5 U5 ZIP file located in "." "/ upgrade-from-esx3.5-3.5.0_update05-207095\ESX350-200911201-UG\VMware-esx-tools-3.5.0-207095.i386.rpm".
